TERMS AND CONDITIONS

The following Terms and Conditions (“T&Cs”) constitute a binding agreement between you (“Customer”) and PENNYBLACK LABS PRIVATE LIMITED (PayXia). By accessing or using any PayXia services, you acknowledge that you have read, understood, and agreed to be bound by these T&Cs.

1. Working Procedure

PayXia provides its services in the following manner:

  • PayXia enters into Business Correspondent arrangements with various Banks and Financial Institutions (“FIs”) to facilitate digital financial and utility services.
  • PayXia onboards customers for services including Mobile Recharges, DTH Recharges, BBPS Services, Credit Card Bill Payments, and other Utility Payments.

2. KYC Compliance

All PayXia services shall be provided strictly in accordance with the Reserve Bank of India (RBI) Know Your Customer (KYC) guidelines. For compliance with RBI regulations, PayXia will collect, verify, and securely maintain your personal identification details at the time of registration and/or at any later stage, as may be required for availing or continuing PayXia services.

3. Registration Data

You agree that all information provided by you during registration or while using the services is true, accurate, current, and complete. If PayXia has reasonable grounds to believe that any information provided is false, inaccurate, incomplete, suspicious, or inconsistent with these T&Cs, PayXia reserves the right to cancel, suspend, or not process the transaction or service request.

4. Disclaimer of Warranties

PayXia operates as a Business Correspondent for various Banks and FIs for enabling payments and utility services. PayXia shall not be responsible for any transaction failure arising due to technical or operational issues attributable to any Bank or FI. PayXia shall address customer service requirements related to transactions conducted using its platform. PayXia is responsible for its operations, including safety, security, and service delivery within the scope of its role.

5. Indemnity

You agree to indemnify and hold harmless PayXia, its affiliates, directors, employees, agents, contractors, partners, licensors, and third-party service providers from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of: (your misuse or improper use of the services,), (violation of these T&Cs,), (misrepresentation of information,) or ( breach of any warranties, representations, or obligations under these T&Cs.)

PayXia reserves the right, at your cost, to assume exclusive defense and control of any matter subject to indemnification. You agree to fully cooperate with PayXia in such defense. PayXia will make reasonable efforts to notify you of any such claim or proceeding.

6. Limitation of Liability

Notwithstanding anything contained herein, the maximum aggregate liability of PayXia, under any circumstance, shall be limited to the value of the transaction attempted or initiated by you through the PayXia platform.

7. Force Majeure

PayXia shall not be liable for any failure or delay in performance of its obligations under these T&Cs if such failure or delay results from circumstances beyond its reasonable control, including but not limited to: acts of government, lockdowns, pandemics, epidemics, war, insurrection, sabotage, embargoes, terrorist attacks, fire, floods, strikes, labor disturbances, transportation delays, telecommunications failure, unavailability of third-party services, software failures, power outages, or any similar causes.

8. Governing Law & Jurisdiction

These T&Cs shall be governed by and interpreted in accordance with the laws of India. All disputes arising out of or in connection with these T&Cs or any related agreement shall be subject to the exclusive jurisdiction of the courts located in Ernakulam, Kerala, India, to the exclusion of all other courts.

9. Entire Agreement

These T&Cs, along with any policies or conditions incorporated by reference, constitute the complete and entire agreement between you and PayXia and supersede any prior understanding or agreements relating to the subject matter.

10. Grievance Redressal & Customer Support

If you are dissatisfied with PayXia services or wish to report an issue, you may lodge a complaint through the following channels:

Upon receipt of your complaint:

  • An acknowledgment will be sent within 24 hours.
  • A resolution will be provided within seven (7) working days from the date of acknowledgment.
